These Terms and Conditions govern your use of the Synthara website and set out the framework for professional service engagements between Synthara and its clients. Please read them carefully before using this website or engaging our services.

1. Definitions

  • "Synthara", "we", "us", "our" — refers to Synthara, a registered AI consultancy based at 73 Phahon Yothin Road, Phaya Thai, Bangkok 10400.
  • "Client", "you", "your" — refers to any individual or organisation that uses this website or engages Synthara for professional services.
  • "Services" — refers to the professional AI consultancy engagements described on this website, including Conversational AI Design, Predictive Analytics Platform development, and AI Ethics & Governance Framework advisory.
  • "Agreement" — refers to the combination of these Terms and any written engagement agreement or statement of work entered into between the parties.
  • "Deliverables" — refers to the outputs produced by Synthara as described in the relevant engagement scope.

2. Acceptance of Terms

By accessing and using this website, or by entering into a service engagement with Synthara, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use this website or engage our services.

Use of this website and our services is intended for individuals aged 20 and above, or organisations represented by an authorised person of legal age. By proceeding, you confirm that you have the legal capacity to enter into these terms.

3. Service Description

Synthara provides professional AI consultancy services to organisations in Thailand and internationally. Our current service offerings are:

Conversational AI Design

Design and development of intelligent conversational interfaces. Typical engagement: 6–8 weeks.

Predictive Analytics Platform

End-to-end predictive analytics solution including model development and dashboard. Typical engagement: 10–14 weeks.

AI Ethics & Governance Framework

Advisory engagement covering AI governance policy and risk assessment. Typical engagement: 4–6 weeks.

Service scope, timelines, and deliverables are confirmed in a written statement of work for each engagement. Availability is subject to project scheduling.

4. User & Client Responsibilities

By using this website, you agree not to:

  • Use the site for any unlawful or unauthorised purpose
  • Attempt to interfere with the website's infrastructure or security
  • Transmit harmful, defamatory, or infringing content
  • Reproduce or redistribute site content without written permission

For service engagements, clients are responsible for providing accurate information, timely access to required data, and designated stakeholder availability as outlined in the engagement scope.

5. Intellectual Property

All website content — including text, visual elements, and structure — is owned by or licensed to Synthara. Unauthorised reproduction or redistribution is not permitted.

For client engagements: ownership of deliverables transfers to the client upon full payment, as specified in the engagement agreement. Synthara retains the right to use methodologies, frameworks, and general approaches developed during the engagement for future work with other clients, provided no client-confidential data is involved.

Pre-existing intellectual property belonging to either party remains with that party throughout the engagement.

6. Payment Terms

  • Currency: All fees are quoted and invoiced in Thai Baht (฿).
  • Payment Schedule: Typically 50% upon engagement commencement and 50% upon delivery, unless otherwise agreed in writing.
  • Invoice Terms: Invoices are payable within 14 days of issue unless stated otherwise.
  • Scope Changes: Additional work outside the agreed scope will be discussed and quoted separately before commencement.
  • Cancellation: Work completed prior to cancellation is billable. Cancellation terms are detailed in the individual engagement agreement.

7. Service-Specific Terms

Each service engagement is governed by a written statement of work that defines scope, milestones, deliverables, and acceptance criteria. The following applies across all engagements:

  • Timelines are estimates based on agreed scope and client cooperation.
  • Deliverable review periods and feedback cycles are defined per engagement.
  • Confidentiality obligations are mutual and survive the end of the engagement.
  • Post-engagement support, if any, is outlined separately in the engagement agreement.

8. Disclaimers

This website and its contents are provided on an "as available" basis. Synthara makes reasonable efforts to keep information current but does not warrant that all content is complete, accurate, or up to date at all times.

Outcomes from AI consultancy engagements depend on multiple factors, including data quality, organisational readiness, and implementation context. Synthara does not make representations about specific results.

Nothing on this website constitutes legal, regulatory, or professional advice beyond the scope of the agreed engagement.

9. Limitation of Liability

To the extent permitted by Thai law, Synthara's liability for any claim arising from a service engagement is limited to the fees paid for that specific engagement.

Synthara is not liable for indirect, consequential, or incidental losses, including loss of data, loss of revenue, or business disruption — even where such possibilities were known.

These limitations do not apply in cases of gross negligence, wilful misconduct, or where prohibited by applicable law.

10. Termination

Either party may terminate a service engagement with written notice as specified in the engagement agreement. Early termination by the client does not remove the obligation to pay for work completed.

Synthara reserves the right to terminate or suspend access to this website for users who breach these terms, without prior notice.

11. Dispute Resolution

These Terms are governed by the laws of Thailand. In the event of a dispute, the parties will first attempt to resolve the matter through good-faith discussion within 30 days of the dispute arising.

If an informal resolution is not reached, disputes will be subject to the jurisdiction of the competent courts in Bangkok, Thailand.

12. General Provisions

  • Entire Agreement: These Terms, together with any engagement-specific documentation, constitute the full agreement between the parties.
  • Severability: If any provision is found unenforceable, the remaining provisions continue to apply.
  • Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it in the future.
  • Assignment: These Terms may not be assigned by you without prior written consent from Synthara.

13. Changes to These Terms

We may update these Terms periodically to reflect changes in our services or applicable law. Updates will be published on this page with a revised effective date. For active engagements, material changes will be communicated directly to clients.

Continued use of this website after an update constitutes acceptance of the revised Terms.
